Welcome to The Chatbot Studio (“Company”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of our website located at https://thechatbotstudio.com
(the “Site”), as well as all AI agents, software, tools, products, services, phone agents, chatbots, integrations, and digital offerings provided by The Chatbot Studio or Pacific Marketers, LLC (collectively, the “Services”).
By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
1. Eligibility
By using this Site or any Service, you confirm that you are:
- At least 18 years old,
- Legally capable of entering into binding contracts,
- Using the Services for lawful purposes, and
- Compliant with all applicable laws and regulations.
2. Use of the Services
You may use our AI-powered chat, phone agents, website tools, and digital services only for lawful business purposes. You agree not to:
- Misuse or interfere with the Services.
- Reverse-engineer, copy, or clone our technology.
- Attempt unauthorized access to any systems or accounts.
- Use the Services to collect or transmit unlawful, harmful, or confidential content.
- Use AI agents to misrepresent your identity or impersonate another party.
We reserve the right to suspend or terminate access if these Terms are violated.
3. AI Agents & Automated Communication
The Chatbot Studio provides AI assistants, voice agents, chatbots, and automation tools (“AI Agents”). By using these Services, you acknowledge and agree:
- AI Agents may record, analyze, store, or process communications.
- AI outputs may not always be accurate or error-free.
- You are solely responsible for reviewing and approving AI content before using it in your business.
- You must comply with all applicable laws regarding automated communications, including TCPA, privacy laws, and industry regulations.
We are not liable for business decisions made by you based on AI-generated communications.
4. Subscriptions, Payments & Billing
Some Services require paid subscriptions or per-usage charges.
By subscribing or using paid features, you agree:
- To provide accurate billing information.
- That recurring charges may be applied based on your plan.
- That overage fees may apply for usage beyond included minutes (AI voice agents, phone minutes, etc.).
- That setup fees, development fees, consulting fees, and other charges may be non-refundable unless otherwise stated in writing.
Failure to pay may result in suspension or termination of your Services.
5. Client Responsibilities
Clients using The Chatbot Studio or AiGent360 Services agree to:
- Provide accurate business information for AI training.
- Ensure compliance with industry-specific regulations (HIPAA, FINRA, etc.).
- Supply updated content, scripts, FAQs, and internal details required to train AI Agents.
- Monitor AI output for accuracy and appropriateness.
We are not responsible for inaccurate or outdated information provided by the client.
6. Intellectual Property
All intellectual property related to the Site and Services is owned by Pacific Marketers, LLC, including:
- The Chatbot Studio brand and logos
- AiGent360 technology
- Text, graphics, images, and audio
- Software, scripts, and AI models
- Marketing materials, training systems, and workflow designs
You may not copy, modify, distribute, resell, or create derivative works without our express written consent.
7. No Guarantee of Results
While our AI tools and marketing systems are designed to improve communication, lead generation, and business efficiency, we do not guarantee specific results, including:
- Sales increases
- Lead conversions
- Ranking improvements
- Google, Bing, or search engine outcomes
- Performance of third-party platforms
Your results may vary depending on your business, industry, competition, compliance, and implementation.
8. Third-Party Services & Integrations
Our Services may integrate with third-party platforms such as:
- CRMs
- Calendars
- Telephony providers
- Hosting services
- AI processing tools
- Analytics systems
We are not responsible for the functionality, accuracy, uptime, outages, policies, or security of third-party systems.
Use of third-party services is at your own risk and subject to their respective terms.
9. Limitation of Liability
To the fullest extent permitted by law, The Chatbot Studio and Pacific Marketers, LLC shall not be liable for:
- Indirect, incidental, punitive, or consequential damages.
- Loss of profits, data, business opportunities, or goodwill.
- Errors produced by AI systems or misinterpretation of AI output.
- Downtime, interruptions, or delays in service.
Total liability for any claim shall not exceed the amount paid by you in the previous 30 days for the specific Service.
10. Indemnification
You agree to indemnify, defend, and hold harmless The Chatbot Studio, Pacific Marketers, LLC, its officers, employees, contractors, and affiliates from any claim arising out of:
- Your use or misuse of the Services
- Misrepresentations made through your AI Agent
- Violation of these Terms
- Violation of any applicable laws or regulations
11. Data Privacy
Your use of the Services is also governed by our Privacy Policy, which explains:

12. Termination
We may suspend or terminate your access to the Services at any time for:
- Non-payment
- Policy violations

We may update these Terms periodically. Updates will be posted on this page with a new effective date.
Continued use of the Site or Services constitutes acceptance of updated Terms.
14. Governing Law
These Terms are governed by the laws of:
- The State of Wyoming (corporate jurisdiction of Pacific Marketers, LLC), and
- The State of California (operational business jurisdiction),
without regard to conflict-of-law principles.
Any disputes must be resolved through binding arbitration in Wyoming or California unless otherwise agreed in writing.
